Proposal Writing- Service Agreement
Simplifying Procurement, Amplifying Results
1. Parties
This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."
2. Project Description
The Company will provide the Client with professional proposal writing services. This service is designed for businesses actively bidding on federal, state, or local government contracts who need a compliance-ready, professionally written proposal tailored to their target agency and opportunity.
3. Scope of Work
3.1 Services Included:
The Company will perform the following services:
Initial Consultation & Briefing — discuss opportunity details, RFP requirements, timeline, deliverables, competitive positioning, and team strengths
Document Collection — Client provides capability statement, certifications, past performance, organizational information, and supporting materials
RFP Outline & Strategy — map proposal content to RFP evaluation criteria and develop win themes
Full Proposal Draft — professionally written proposal content up to 20 pages (base package)
Formatting & Compliance Review — ensure alignment with RFP instructions, page limits, formatting requirements, and submission specifications
Final Review & Submission-Ready Delivery — polished, submission-ready document delivered prior to deadline
Initial intake and document collection within 24 hours of form submission
60-minute initial briefing call (Tuesday-Thursday) to discuss RFP strategy and approach
3.2 Delivery Timeline:
Initial briefing and strategy outline will be completed within 24-48 hours of intake form submission and briefing call. Full proposal draft will be delivered within 7-10 business days of document collection, depending on RFP deadline urgency. Final submission-ready version will be delivered 24-48 hours prior to deadline.
3.3 Pricing:
Base Package (up to 20 pages): $2,500.00
Additional Pages 21-40: $2,000.00 (add-on)
Additional Pages 41-60: $3,000.00 (add-on)
61+ Pages: Custom pricing (discussed during briefing, billed separately)
3.4 What is NOT Included:
Proposal Graphics & Design (available as $350 add-on)
Post-submission debrief or revision sessions (available as $250 add-on)
Bid/no-bid analysis or opportunity evaluation
RFP compliance training or consulting
Resubmission or rebid support beyond initial proposal
4. Deliverables
The Company will provide the following deliverables:
Customized proposal outline aligned to RFP evaluation criteria
Full proposal narrative (up to 20 pages base)
Technical approach and solution strategy documentation
Past performance and capability positioning
Compliance checklist confirmation
Submission-ready PDF or Word document
Final formatting and quality assurance review
5. Refund Policy
No refund after intake form submitted. Once Client submits the completed intake form, the service fee becomes non-refundable because the Company begins strategy development and document collection.
Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.
No refunds for partial completion. If Client does not complete the briefing call or provide required documents, no refund will be issued.
6. Payment Terms
Base Service Fee: $2,500.00 (20 pages)
Payment Schedule: Billed at time of purchase
Service Delivery: Service delivery begins upon payment receipt
Non-Payment: If payment fails, service delivery is paused until payment is resolved
No Auto-Renewal: This is a one-time service engagement (not a recurring subscription)
Additional Pages: Billed separately if selected as add-on
7. Client Responsibilities
The Client agrees to:
Complete the intake form within 24 hours of purchase
Schedule and attend the 60-minute briefing call (Tue-Thu), or reschedule with 48-hour notice
Provide all required documentation (RFP, capability statement, past performance, team bios) within 48 hours of briefing
Provide accurate information about the opportunity, requirements, and competitive positioning
Communicate clearly about RFP requirements, evaluation criteria, and submission deadline
Review draft proposal and provide feedback promptly (within 24 hours when possible)
Ensure all information provided is accurate and compliant with RFP requirements
Be responsible for final review, approval, and submission to the agency
Provide any additional information or clarifications needed during the writing process
8. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary, financial, and business information shared during consultations and throughout the proposal development process. Information will not be disclosed to third parties without prior written consent, except as required to submit the proposal to the government agency.
9. Intellectual Property
All proposal templates, frameworks, and proprietary writing methodologies remain the property of Procurement & Co.
Client receives a limited license to use the completed proposal for the specific RFP opportunity only
Client owns all information provided and the final proposal content
Company may use anonymized case studies or success stories for marketing (with Client permission)
10. Service Modifications
The Company reserves the right to suspend or discontinue services if:
The Client fails to provide required documents within the specified timeframe
The Client fails to attend the scheduled briefing call without rescheduling
The Client misses the RFP deadline and cannot provide submission extension
The Client is unresponsive for more than two (2) business days during the writing process
11. Limitation of Liability
Procurement & Co. does not guarantee proposal approval or contract award, as final determination rests with the government agency. The Company is not liable for proposal rejection, scoring outcomes, or contract results. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.
12. Timeline & Deadline Responsibility
Client is responsible for providing the RFP deadline clearly and ensuring the Company has adequate time to complete the proposal. If Client provides insufficient time (less than 7 business days), the Company may recommend expedited service at standard rates or defer the project. The Company is not responsible for missed deadlines due to Client delays in providing documentation or feedback.
13. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
14. Termination
Either Party may terminate this Agreement with written notice.
Termination by the Client will take effect immediately
Upon termination, all Confidentiality and Intellectual Property obligations survive
No refunds will be issued for termination after intake form submission
Client remains responsible for any partially completed work
15. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.
