This is a legally binding agreement between you and Procurement & Co. Please read the complete agreement below before executing. By submitting the execution form at the bottom of this page, you confirm that you have read and understood all terms in their entirety and that you are duly authorized to bind your organization.
MASTER SERVICE AGREEMENT Governing All Professional Advisory Engagements. Effective on the date of purchase.
PREAMBLE
This Master Service Agreement (“Agreement”) is entered into between Procurement & Co., an Illinois corporation and professional advisory firm (“Firm,” “we,” “us,” or “our”), and the individual or entity completing the engagement onboarding process (“Client,” “you,” or “your”). This Agreement governs all professional services, subscription services and advisory engagements offered by Procurement & Co.
The Client accepts this Agreement by completing checkout after being shown notice that the purchase is subject to this Agreement and the Refund & Payment Policy, and by submitting the execution form. If, despite this requirement, the Client receives services before submitting the execution form, the Client’s acceptance of those services also constitutes acceptance of this Agreement. Work begins only after the execution form is submitted.
SECTION 1 — PARTIES & RELATIONSHIPSECTION 1 — WHO WE ARE
1.1 Firm Identity
Procurement & Co. is a professional advisory firm specializing in federal procurement strategy, compliance support, entity formation, capability positioning, and subscription-based intelligence services. The Firm operates exclusively in a business-to-business (B2B) capacity and is not affiliated with, endorsed by, or acting as an agent of any federal, state, or municipal government agency.
1.2 Independent Contractor Relationship
Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between the Firm and the Client. The Firm and its personnel operate as independent contractors. The Firm retains sole discretion over the manner, means, and methods by which services are delivered, subject only to the deliverable specifications in the applicable service description.
1.3 Authorized Signatory
The Client represents and warrants that the individual accepting this Agreement is duly authorized to bind the Client entity to these terms.
SECTION 2 — SCOPE OF SERVICES
2.1 Service Portfolio
Procurement & Co. offers the seventeen services listed on procure-ment.com: The Foundation, The Executive, The Sovereign, The Registration, The Certification, The Renewal, The Continuance, The Recurrence, The Review, The Statement, The Prospectus, The Pipeline, The Proposal, The Audit, The Briefing, The Index, and The Syndicate. Each is subject to this Agreement and to the service description presented at the time of purchase.
2.2 Service Descriptions
Each service purchased is governed by the service description displayed at the time of purchase on procure-ment.com, which forms part of this Agreement by reference and defines that service’s deliverables, timelines, and scope. If a service description conflicts with this Agreement, this Agreement controls, except that the service description controls for (a) deliverable specifications and (b) any refund, credit, or availability term stated for that service.
2.3 Government Registration Services
All federal, state, and municipal registrations, certifications, and filings facilitated by the Firm are available from the issuing agencies at no direct fee to the registrant. The Firm’s fees are exclusively for professional advisory assistance, strategic guidance, document preparation, and submission support. Any government or third-party fees are paid directly by the Client, disclosed in advance, and separate from the Firm’s fees. The Firm does not guarantee that any registration, certification, or application will be approved.
2.4 Scope Limitations
Services rendered under this Agreement do not constitute legal advice, legal representation, financial advice, accounting services, or investment advisory services. The Firm is not a licensed law firm, CPA firm, or registered investment advisor.
SECTION 3 — FEES, PAYMENT & BILLING
3.1 Fee Schedule
All fees are as stated in the service description at the time of purchase. The Firm may change pricing for future purchases with at least fourteen (14) days’ written notice to active subscription and quarterly clients. Price changes do not affect engagements already purchased and in progress.
3.2 Payment Processing
All payments are processed through Squarespace Payments at the Firm’s website checkout. The Firm does not receive or store full card numbers or banking credentials. Refunds are issued only through Squarespace to the original payment method.
3.3 One-Time Service Fees
Fees for one-time services are due in full at the time of purchase. Engagement commences upon confirmed receipt of payment and completion of the Client’s intake.
3.4 Subscription Fees
The Briefing, The Index, and The Syndicate are billed monthly to the Client’s payment method on file. The first month is charged at checkout. Each subscription also carries a one-time setup fee stated in its service description, invoiced through a secure payment link after purchase; setup begins once it is paid.
3.5 Quarterly Service Fees
The Recurrence, The Review, and The Continuance are billed per quarter. The first quarter, including a one-time onboarding fee, is charged at checkout. Each later quarter is invoiced through a secure payment link approximately ten (10) business days before it begins, and work for that quarter begins once the invoice is paid. Quarterly services continue until cancelled under Section 5.
3.6 Failed Payments
For quarterly services, an invoice that remains unpaid for fifteen (15) business days results in cancellation of the engagement, with written notice. If a subscription payment fails, the Firm will notify the Client within one (1) business day. If payment is not received within five (5) calendar days of the failed charge, the subscription is paused. If payment is not received within thirty (30) calendar days, the subscription is terminated, and amounts owed, including any remaining months of the minimum term, remain payable.
SECTION 4 — REFUND POLICY
4.1 One-Time Services — Cancellation Window
The Client may request a full refund within forty-eight (48) hours of the confirmed purchase date, provided that the Firm has not yet commenced substantive work. “Commencement of work” includes the assignment of personnel, initiation of research or analysis, review of submitted intake materials, or any direct advisory communication specific to the Client’s engagement.
4.2 One-Time Services — No Refunds After Commencement
Except as stated in Section 4.6, once substantive work has commenced, no refunds will be issued, including for Client dissatisfaction, change of business direction, failure to complete intake, or inability to use deliverables. The Firm’s obligation is to deliver the contracted scope of work, not to guarantee specific business outcomes.
4.3 Subscription Services
No refunds are issued for partial months. Monthly subscription fees and setup fees are non-refundable once charged.
4.4 Quarterly Services
Paid quarterly fees and onboarding fees are non-refundable. On cancellation, the Firm completes the quarter already paid for and issues no further invoices.
4.5 Refund Process
Refund requests must be submitted in writing to info@procure-ment.com. Approved refunds are issued through Squarespace to the original payment method within ten (10) business days.
4.6 Service-Specific Terms
The following apply in addition to this Section 4 and control over it: (a) The Renewal — if an additional certification does not qualify, the Client may schedule it to start when its renewal window opens (within six (6) months) or receive a refund of that certification’s fee if no work has started; (b) The Proposal — if a no-bid is recommended at intake review and the Client agrees, a refund less a $350 review fee; and a full refund if the Firm cannot meet the solicitation deadline; (c) The Syndicate — if a place cannot be accommodated and the Client chooses not to wait, a full refund; (d) The Foundation — the upgrade credit stated in its service description.
4.7 Chargebacks and Payment Disputes
If the Client questions a charge, the Client agrees to contact the Firm in writing at info@procure-ment.com before filing a chargeback or payment dispute, so that the Firm has an opportunity to resolve it. Once a dispute is opened, the disputed charge can no longer be refunded through the Firm’s payment processor. Filing a chargeback for a charge that is properly due under this Agreement without first raising it with the Firm is a breach of this Agreement. While a dispute is open, the Firm may pause further work on the affected order, may terminate the engagement if the charge was properly due, and will respond to the dispute with records of the services purchased and delivered. If a dispute is decided in the Client’s favor for a charge that was properly due, the amount remains owed under this Agreement. Nothing in this section limits the Client’s right to dispute a charge in good faith or any right the Client has under applicable law.
SECTION 5 — SUBSCRIPTION TERMS & CANCELLATION
5.1 Minimum Term
Subscription services have a minimum term of three (3) monthly billing cycles from activation. The Client commits to pay the monthly fee for each month of the minimum term. If the Client cancels before the minimum term ends, the fees for the remaining months of the minimum term are invoiced through a secure payment link and remain payable, and the service continues through the end of the minimum term unless the Client asks it to stop. These fees are payment for services that continue through the end of the minimum term. Quarterly services may be cancelled as set out in Section 4.4.
5.2 Continuation
After the minimum term, subscriptions continue month to month, and quarterly services continue quarter to quarter, until cancelled.
5.3 Cancellation Procedure
Cancellation is by written request to info@procure-ment.com. A subscription cancellation takes effect at the end of the current paid month, and no partial-month refunds are issued. A quarterly cancellation takes effect at the end of the quarter already paid. The Firm will confirm each cancellation by email within two (2) business days.
5.4 Renewals
Subscriptions renew automatically each month, and quarterly services each quarter, as described in Section 5.2. The Firm does not send separate renewal reminders.
5.5 Effect of Cancellation
The subscription or engagement remains active through the end of the period already paid. Deliverables already delivered remain the Client’s, subject to Section 8.
SECTION 6 — CLIENT OBLIGATIONS
6.1 Accurate Information
The Client agrees to provide complete, accurate, and truthful information throughout intake and the engagement. The Firm is not responsible for errors, delays, or rejection of applications resulting from inaccurate, incomplete, or misleading information provided by the Client.
6.2 Timely Response
The Client agrees to respond to reasonable requests for information, documents, or approvals within the timeframes the Firm specifies. Delays caused by the Client may extend the engagement timeline without constituting a breach by the Firm.
6.3 Intake Completion
Certain services require completion of the Firm’s intake before substantive work begins. Failure to complete intake within thirty (30) calendar days of purchase may result in delayed service delivery. The Firm is not in breach for delays attributable to incomplete intake.
6.4 Lawful Use
The Client agrees to use all services, deliverables, and advisory guidance exclusively for lawful business purposes and warrants that all information provided is truthful. The Firm may terminate any engagement immediately upon discovery of fraudulent, illegal, or misrepresentative conduct by the Client.
6.5 Account Access
The Firm never asks for the Client’s passwords. Where a service requires access to a Client account, the Client grants delegated access, which is removed at handoff.
SECTION 7 — CONFIDENTIALITY & DATA SECURITY
7.1 Client Data Confidentiality
The Firm treats all Client-provided information, including entity formation details, financial records, and government registration information, as confidential. The Firm will not disclose Client information to third parties except as necessary to deliver contracted services, comply with applicable law, or as expressly authorized by the Client.
7.2 Sensitive Data Handling
Certain services may require sensitive information, such as taxpayer identification numbers or banking documentation. Such information is never requested through ordinary web forms or email. If an engagement requires sensitive information, the Firm will tell the Client how to provide it before requesting it. Sensitive information is never entered into AI tools and is handled only by authorized personnel.
7.3 Firm Confidentiality
The Client agrees to keep confidential any proprietary methodologies, frameworks, processes, and templates disclosed by the Firm, and not to reproduce, distribute, sublicense, or disclose them without the Firm’s prior written consent.
7.4 Data Retention
The Firm keeps Client information only as long as needed for the purposes of this Agreement, including legal, tax, accounting, and dispute-resolution needs, and then disposes of it securely.
SECTION 8 — INTELLECTUAL PROPERTY & DELIVERABLES
8.1 Deliverable Ownership
Upon receipt of full payment for a completed engagement, the Client owns the final deliverables produced specifically for that engagement, including capability statements, dossiers, audit reports, and market roadmaps. Accounts created for the Client, such as domain, website, and Google Workspace accounts, are created in the Client’s name and belong to the Client from creation.
8.2 Firm’s Retained Rights
The Firm retains ownership of all underlying methodologies, frameworks, templates, processes, tools, and analytical approaches used to produce deliverables.
8.3 Subscription Content
Intelligence content delivered through The Briefing, The Index, and The Syndicate is licensed to the Client for internal business use only and may not be redistributed, resold, or published without the Firm’s prior written consent.
8.4 No Reverse Engineering
The Client agrees not to reverse-engineer, replicate, or reproduce the Firm’s proprietary methodologies, frameworks, or templates to create a competing service or product.
SECTION 9 — LIMITATION OF LIABILITY & DISCLAIMERS
9.1 No Guarantee of Outcomes
The Firm makes no warranty, express or implied, that any service, deliverable, or advisory guidance will result in the award of government contracts, approval of certifications, successful funding, or any other specific business outcome.
9.2 Limitation of Liability
To the maximum extent permitted by applicable law, the Firm’s total aggregate liability for any claim arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Firm in the three (3) months immediately preceding the event giving rise to the claim. In no event shall the Firm be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost contracts, or lost business opportunities. This limit does not apply to liability arising from the Firm’s fraud or willful misconduct, to the Client’s obligation to pay fees, or to liability that cannot be limited under applicable law. Any claim against the Firm must be brought within one (1) year after it arises.
9.3 Force Majeure
The Firm is not liable for delay or failure in performance caused by events beyond its reasonable control, including government actions, agency system outages, internet disruptions, natural disasters, or pandemics.
9.4 Government Agency Actions
The Firm disclaims liability for actions, decisions, delays, or rejections by government agencies, including SAM.gov, the Small Business Administration (SBA), the Internal Revenue Service (IRS), and state registrar offices.
9.5 Client Indemnification
The Client will defend, indemnify, and hold harmless the Firm and its personnel from third-party claims, losses, and costs, including reasonable attorney’s fees, arising from information or materials the Client provides, the Client’s use of deliverables, or the Client’s breach of this Agreement or violation of law.
SECTION 10 — DISPUTE RESOLUTION
10.1 Informal Resolution
The parties will first attempt to resolve any dispute through good-faith negotiation. The aggrieved party shall give written notice, and the parties shall have thirty (30) calendar days to negotiate before pursuing formal proceedings.
10.2 Governing Law & Venue
This Agreement is governed by the laws of the State of Illinois, without regard to conflict of law principles. Legal proceedings shall be brought exclusively in the state or federal courts located in Cook County, Illinois. Each party consents to the personal jurisdiction of those courts.
10.3 Waiver of Jury Trial
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PARTIES KNOWINGLY AND VOLUNTARILY WAIVE THEIR RIGHTS TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.
10.4 Attorney’s Fees
In litigation arising from this Agreement, the prevailing party may recover reasonable attorney’s fees and court costs. The Client will also pay the Firm’s reasonable costs of collecting any overdue amount, including reasonable attorney’s fees.
SECTION 11 — GENERAL PROVISIONS
11.1 Entire Agreement
This Agreement, together with the service description(s) presented at the time of purchase and the Refund & Payment Policy, constitutes the entire agreement between the parties on its subject matter. If these documents conflict, this Agreement controls, except that a service description controls for that service’s deliverable specifications and any refund, credit, or availability term it states. The Refund & Payment Policy carries out this Agreement’s payment and refund terms, and the Terms & Conditions govern use of the website only.
11.2 Amendments
The Firm may update this Agreement. An update applies to purchases made after it is posted. For active engagements, it takes effect at the start of the first billing period beginning at least fourteen (14) days after the Firm emails notice of it. Updates do not apply to periods already paid or to disputes that arose before the update.
11.3 Severability
If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions continue in full force.
11.4 No Waiver
A party’s failure to enforce any provision on one occasion does not waive its right to enforce it later.
11.5 Assignment
The Client may not assign this Agreement without the Firm’s prior written consent. The Firm may assign it in connection with a merger, acquisition, or sale of substantially all of its assets upon reasonable written notice.
11.6 Notices
Notices are delivered in writing by email: to the Firm at info@procure-ment.com, and to the Client at the email address provided during intake.
11.7 Electronic Acceptance and Records
This Agreement is accepted electronically. An electronic signature or record of acceptance may not be denied legal effect solely because it is electronic under the Illinois Uniform Electronic Transactions Act (815 ILCS 333) and the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.). The Client agrees not to contest this Agreement on the ground that it was accepted electronically. The Client agrees to receive this Agreement, invoices, and notices electronically at the email address provided at checkout. The Firm records the version accepted, the date and time of acceptance, and the name, title, and organization of the person accepting, and will email the Client a copy of the executed Agreement. The Client may request a copy at any time at info@procure-ment.com.
