Business Startup Premium- Service Agreement

Parties
This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."
2. Project Description
The Company will provide the Client with complete business formation, professional branding, federal registration, and strategic business planning services under the Business Startup Premium Package. This package is designed for entrepreneurs who want to launch strategically with federal registration and be positioned to compete immediately for high-value government contracts.
3. Scope of Work
3.1 Services Included:
The Company will perform the following services under the Premium Package:
Everything in Plus (formation, branding, website, email, marketing materials)
SAM.gov Federal Registration (UEI + CAGE Code) — complete System for Award Management registration
Comprehensive Business Plan — professional 15-20 page strategic document including executive summary, market analysis, competitive positioning, and growth roadmap
3-Year Financial Projections — detailed revenue forecasts, expense budgets, cash flow projections, break-even analysis
Vendor Registry Setup (State/City/County) — registration in key state, city, and county procurement databases
30-Day Starter Subscription — full month of curated contract leads and consulting support (included, no additional charge)
Initial intake and strategic consultation (within 24 hours of form submission)
60-minute kickoff strategy call (Monday) to discuss business vision, business plan, and SAM.gov strategy
45-minute mid-project check-in call (around day 10-14) to review business plan draft and SAM.gov progress
60-minute launch strategy call (final call) to review all materials and discuss lead strategy
3.2 What is Not Included:
State filing fees (you handle directly)
Virtual address service costs (you purchase directly)
Domain renewal after first year
Google Workspace ongoing subscription
Business phone service ongoing costs
Certification applications (available as add-on)
Proposal writing or bid assistance (available as add-on at $2,000 for Premium clients)
Ongoing business plan updates or consulting
4. Deliverables
The Company will provide the following deliverables:
Everything from Plus (formation documents, branding, website, email, business cards, LinkedIn page, etc.)
Comprehensive Business Plan (15-20 pages) with executive summary, market analysis, and competitive positioning
3-Year Financial Projections (revenue forecasts, expense budgets, cash flow analysis)
SAM.gov Federal Registration (UEI and CAGE code obtained and active)
Vendor Database Registrations (state, city, county procurement databases)
Professional Capability Statement (optimized for federal contracting)
30 Days of Starter Subscription (curated contract leads + email support)
Step-by-step state filing instructions
All documents, federal registration, and registrations completed within 21-30 business days of intake form submission. SAM.gov registration typically takes 5-10 business days after submission.
5. Refund Policy
No refund after intake form submitted. Once Client submits the completed intake form, the package fee becomes non-refundable because the Company begins developing your business plan, financial projections, and federal registration strategy.
Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.
No refunds for partial completion. If Client does not complete the kickoff, mid-project, or launch strategy calls, no refund will be issued.
6. Payment Terms
Package Fee: $2,999.00
Payment Schedule: Billed at time of purchase
Service Delivery: Service delivery begins upon payment receipt
Non-Payment: If payment fails, service delivery is paused until payment is resolved
No Auto-Renewal: This is a one-time package purchase (not a recurring subscription)
7. Client Responsibilities
The Client agrees to:
Complete the intake form within 24 hours of purchase
Attend all three strategy calls (kickoff, mid-project, launch) or reschedule with 48-hour notice
Provide accurate and detailed business information, financial data, and strategic goals
Handle state filing fees, virtual address, and ongoing service subscriptions directly
Maintain accurate business information throughout delivery
File formation documents with state (we provide instructions)
Respond to SAM.gov registration requests within 2 business days
Engage actively with the 30-day Starter Subscription (review leads, attend optional strategy calls)
Provide feedback and input during business plan and financial projection development
8. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary, financial, and business information. Information will not be disclosed to third parties without prior written consent, except as required by law or regulatory authorities.
9. Intellectual Property
All templates, designs, business plan frameworks, and proprietary materials remain the property of Procurement & Co.
Client receives a limited license to use customized business plan and documents for Client's own business purposes only
Client owns all content provided (copy, financial data, strategic information)
10. Service Modifications
The Company reserves the right to suspend or discontinue services if:
The Client fails to provide accurate information required for strategy and planning
The Client misses multiple scheduled calls without rescheduling
The Client is unresponsive for more than two (2) weeks (service will be considered abandoned, with no refund; restarting requires a new package purchase)
The Client misses SAM.gov submission deadlines by more than 5 business days
11. Limitation of Liability
Procurement & Co. does not guarantee business success, government contract awards, certification approvals, or federal registration approval. Success depends on Client's execution, market factors, and competitive ability. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
13. Termination
Either Party may terminate this Agreement with written notice.
Termination by the Client will take effect immediately
Upon termination, all Confidentiality and Intellectual Property obligations survive
No refunds will be issued for termination after intake form submission
14. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.Business Startup Premium Contract
