Business Startup Plus- Service Agreement

Parties
This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."
2. Project Description
The Company will provide the Client with complete business formation and professional branding services under the Business Startup Plus Package. This package is designed for entrepreneurs who want to launch not just legally compliant, but professionally branded and ready to market their business immediately.
3. Scope of Work
3.1 Services Included:
The Company will perform the following services under the Plus Package:
Everything in Essentials (business formation, EIN, NAICS, documents, capability statement)
Business Bank Account Setup Support — step-by-step guidance on opening a compliant business checking account
Custom Domain Registration — professional website domain (first year included)
Branded Business Email (1 seat) — professional email setup through Google Workspace
Professional Landing Page — clean, mobile-responsive one-page website introducing your business
Business Phone Line Setup — guidance and setup for dedicated professional phone line
LinkedIn Business Page Setup — optimized company page for networking and credibility
Digital Business Card Design — professional business card design (print-ready file)
Basic Brand Style Guide — document defining brand colors, fonts, and visual identity
7-Day Starter Subscription Trial — access to lead tracking and support services
Initial intake and client profile review within 24 hours of form submission
60-minute kickoff call (Monday) to discuss branding, website, and launch strategy
30-minute mid-project check-in call (around day 7) to review progress and confirm direction
3.2 What is Not Included:
State filing fees (you handle directly)
Virtual address service costs (you purchase directly)
Domain renewal after first year
Google Workspace ongoing subscription
Business phone service ongoing costs
SAM.gov registration or federal contracting support
Certification applications or support
Proposal writing or bid assistance
Ongoing website updates or maintenance
4. Deliverables
The Company will provide the following deliverables:
Everything from Essentials (formation documents, capability statement, EIN guidance, etc.)
Custom branded domain name (first year purchased and active)
Professional landing page (one-page website)
Branded business email setup instructions
Digital business card design (print-ready file)
LinkedIn business page setup
Business phone line setup guidance
Basic brand style guide (colors, fonts, visual identity)
Business bank account setup guidance
7-Day Starter Subscription access
Step-by-step state filing instructions
All branding materials and documents delivered within 14 business days of intake form submission.
5. Refund Policy
No refund after intake form submitted. Once Client submits the completed intake form, the package fee becomes non-refundable because the Company begins branding design, domain registration, and document customization.
Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.
No refunds for partial completion. If Client does not complete the kickoff or mid-project calls, no refund will be issued.
6. Payment Terms
Package Fee: $1,499.00
Payment Schedule: Billed at time of purchase
Service Delivery: Service delivery begins upon payment receipt
Non-Payment: If payment fails, service delivery is paused until payment is resolved
No Auto-Renewal: This is a one-time package purchase (not a recurring subscription)
7. Client Responsibilities
The Client agrees to:
Complete the intake form within 24 hours of purchase
Attend kickoff call (60 minutes, Monday) or reschedule with 48-hour notice
Attend mid-project check-in (30 minutes, around day 7) or reschedule with 48-hour notice
Provide accurate branding preferences, domain preferences, and business information
Handle state filing fees, virtual address, and ongoing service subscriptions directly
Maintain accurate business information
File formation documents with state (we provide instructions)
Provide feedback during design process
8. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary, financial, and business information. Information will not be disclosed to third parties without prior written consent, except as required by law.
9. Intellectual Property
All templates, designs, documents, and proprietary materials remain the property of Procurement & Co.
Client receives a limited license to use customized designs and documents for their own business only
Client owns all content provided (copy, photos, etc.)
10. Service Modifications
The Company reserves the right to suspend or discontinue services if:
The Client fails to provide accurate information required for design customization
The Client misses both kickoff and mid-project calls without rescheduling
The Client is unresponsive for more than two (2) weeks (service will be considered abandoned, with no refund; restarting requires a new package purchase)
11. Limitation of Liability
Procurement & Co. does not guarantee business success, government contract awards, or marketing outcomes. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
13. Termination
Either Party may terminate this Agreement with written notice.
Termination by the Client will take effect immediately
Upon termination, all Confidentiality and Intellectual Property obligations survive
No refunds will be issued for termination after intake form submission
14. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.
