Business Start-Up Essentials Contract

Simplifying Procurement, Amplifying Results

  1. Parties

This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."

2. Project Description

The Company will provide the Client with business formation and government contracting readiness services under the Business Startup Essentials Package. This package is designed for entrepreneurs and new business owners who want to launch legally compliant and be ready for government contracting opportunities.

3. Scope of Work

3.1 Services Included:

The Company will perform the following services under the Essentials Package:

  • Business Formation Consultation — guidance on LLC or Corporation setup and step-by-step filing instructions

  • EIN Application Support — assistance with Employer Identification Number application and IRS verification

  • NAICS Code Strategy — strategic selection of industry classification codes aligned with government opportunities

  • Operating Agreement Template & Review — professionally drafted template customized for your business structure

  • W-9 Preparation & Setup — preparation of IRS Form W-9 for contractor readiness

  • Professional Capability Statement — one-page custom marketing document positioning you for government opportunities

  • Virtual Address Consultation — recommendations for virtual office services suited to your needs and budget

  • 7-Day Starter Subscription Trial — access to lead tracking and support services

  • Initial intake and client profile review within 24 hours of form submission

  • 45-minute kickoff call (Monday) to discuss business vision and formation preferences

3.2 What is Not Included:

  1. State filing fees (you handle directly)

  2. Virtual address service costs (you purchase directly)

  3. Ongoing business formation support beyond initial documents

  4. SAM.gov registration or federal contracting support

  5. Certification applications or support

  6. Proposal writing or bid assistance

    4. Deliverables

The Company will provide the following deliverables:

  • Customized Operating Agreement template for your state and structure

  • W-9 Form (completed and ready to sign)

  • Professional Capability Statement (one-page document)

  • EIN Application Guidance (step-by-step instructions)

  • NAICS Code Recommendations (strategic codes for your industry)

  • Virtual Address Service Recommendations with pricing

  • 7-Day Starter Subscription access to leads and email support

  • Step-by-step state filing instructions

All documents delivered within 7-10 business days of intake form submission and kickoff call completion.

5. Refund Policy

  • No refund after intake form submitted. Once Client submits the completed intake form, the package fee becomes non-refundable because the Company begins preparing customized documents and scheduling consultation time.

  • Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.

  • No refunds for partial completion. If Client does not complete the kickoff call or intake form, no refund will be issued.

6. Payment Terms

  • Package Fee: $999.00

  • Payment Schedule: Billed at time of purchase

  • Service Delivery: Service delivery begins upon payment receipt

  • Non-Payment: If payment fails, service delivery is paused until payment is resolved

  • No Auto-Renewal: This is a one-time package purchase (not a recurring subscription)

7. Client Responsibilities

The Client agrees to:

  • Complete the intake form within 24 hours of purchase

  • Attend the 45-minute kickoff call (or reschedule with 48-hour notice)

  • Provide accurate information about business type, structure, and goals

  • Handle state filing fees and virtual address service purchase directly

  • Be responsible for actually filing formation documents with your state (we provide instructions)

  • Maintain accurate business information

8. Confidentiality

Both Parties agree to maintain confidentiality of all proprietary, financial, and business information shared during consultations. Information will not be disclosed to third parties without prior written consent, except as required by law.

9. Intellectual Property

  • All templates, documents, and proprietary materials remain the property of Procurement & Co.

  • Client receives a limited license to customize and use documents for their own business formation only

  • Any materials provided by Client remain Client's property

10. Service Modifications

The Company reserves the right to suspend or discontinue services if:

  • The Client fails to provide accurate information required for document customization

  • The Client fails to attend the scheduled kickoff call

  • The Client is unresponsive for more than two (2) weeks (service will be considered abandoned, with no refund; restarting requires a new package purchase)

11. Limitation of Liability

Procurement & Co. does not guarantee business success, government contract awards, or outcomes. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Illinois.

Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.

13. Termination

Either Party may terminate this Agreement with written notice.

  • Termination by the Client will take effect immediately

  • Upon termination, all Confidentiality and Intellectual Property obligations survive

  • No refunds will be issued for termination after intake form submission

14. Acceptance

By submitting the form below, the Client agrees to the terms of this Agreement.
