Business Plan Foundation- Service Agreement
Simplifying Procurement, Amplifying Results
1. Parties
This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."
2. Project Description
The Company will provide the Client with a comprehensive strategic narrative business plan. This plan provides structure, clarity, and credibility for your organization through detailed sections on company overview, mission/vision, products/services, market analysis, competitive positioning, operations, management, compliance readiness, and risk mitigation.
3. Scope of Work
3.1 Services Included:
The Company will perform the following services:
Executive Summary — high-level overview of business, vision, financial highlights, and key objectives
Company Overview & Legal Structure — business fundamentals, formation details, ownership structure, location, years in business
Mission, Vision, & Value Proposition — company purpose, long-term vision, core values, unique value proposition, key differentiators
Products & Services Description — comprehensive overview of all offerings, features, benefits, pricing strategy, delivery method
Market & Industry Overview — industry trends, market size, growth potential, target market profile, customer pain points
Competitive Landscape Analysis — primary competitors, competitive advantages, competitive threats, market positioning strategy
Target Customer Profile — detailed customer description, needs, decision-making process, customer acquisition strategy
Operations Plan — key business processes, suppliers/partners, technology/tools, quality standards, compliance overview
Management & Ownership Structure — ownership breakdown, management team, key personnel, roles and responsibilities, organizational structure
Compliance & Government Readiness Overview — licenses/permits/certifications, government contracting readiness, regulatory compliance status
Risk & Mitigation Analysis — key business risks, mitigation strategies, contingency plans, success factors
Initial intake and planning within 24 hours of form submission
60-minute strategic planning call (Tuesday-Thursday) to discuss vision, market, competitive positioning, and goals
3.2 Delivery Timeline:
Comprehensive strategic narrative business plan will be completed and delivered within 10-14 business days of intake form submission and planning call. Plan is provided as a professional PDF or Word document.
3.3 What is NOT Included (Available as Add-Ons):
3-5 year financial projections (available as $750 add-on)
Cash flow modeling or break-even analysis
Premium capital package with detailed financials (available as $1,500 add-on)
Implementation consulting or execution support
Ongoing business planning or strategic advisory services
Funding strategy or investor pitch deck
Legal business formation services
4. Deliverables
The Company will provide the following deliverables:
Comprehensive Strategic Narrative Business Plan (10-15 pages, professional PDF or Word format)
Executive Summary (1-2 pages standalone)
Company Overview section with legal structure details
Mission, Vision, Values, and Value Proposition statement
Complete Products/Services description with features and benefits
Market and Industry Analysis
Competitive Landscape Assessment
Target Customer Profile with acquisition strategy
Operations Plan overview
Management and Ownership Structure documentation
Compliance and Government Readiness Assessment
Risk Analysis and Mitigation Strategies
5. Refund Policy
No refund after intake form submitted. Once Client submits the completed intake form, the service fee becomes non-refundable because the Company begins plan development and analysis.
Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.
No refunds for partial completion. If Client does not complete the planning call or provide required information, no refund will be issued.
6. Payment Terms
Service Fee: $1,250.00
Payment Schedule: Billed at time of purchase
Service Delivery: Service delivery begins upon payment receipt
Non-Payment: If payment fails, service delivery is paused until payment is resolved
No Auto-Renewal: This is a one-time service engagement (not a recurring subscription)
7. Client Responsibilities
The Client agrees to:
Complete the intake form thoroughly within 24 hours of purchase
Schedule and attend the 60-minute planning call (Tue-Thu), or reschedule with 48-hour notice
Provide accurate and complete information about business, operations, market, competitors, and goals
Clarify questions during plan development (respond within 48 hours when possible)
Provide feedback on draft sections if requested
Be responsible for final review and approval of plan content
Use business plan for intended purposes (internal planning, certifications, vendor applications, strategic clarity)
Maintain confidentiality of plan if needed
8. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary, financial, and business information shared during the planning process. Information will not be disclosed to third parties without prior written consent, except as required by law.
9. Intellectual Property
All business plan templates, frameworks, and proprietary planning methodologies remain the property of Procurement & Co.
Client receives a limited license to use the customized business plan for their own business planning, certifications, and strategic purposes only
Client owns all information provided and the final business plan content
Company may use anonymized case studies or success stories for marketing (with Client permission)
10. Plan Accuracy & Updates
The business plan is based on information provided by Client at time of creation. Client is responsible for ensuring all information is accurate. The Company is not responsible for outdated or inaccurate information that Client provides.
11. Service Modifications
The Company reserves the right to extend timeline if:
Client provides incomplete or inaccurate intake information
Client is unavailable for the scheduled planning call
Significant clarification or additional research is needed
Client provides feedback requiring substantial revisions beyond standard scope
12. Limitation of Liability
Procurement & Co. does not guarantee business success, funding, contract awards, or outcomes based on the business plan. The Company is not liable for business results or outcomes. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.
13. Plan Implementation
The business plan provided is a strategic narrative document for planning and communication purposes. Success in execution depends on Client's implementation, market factors, team execution, and competitive ability. The Company does not guarantee results from using this plan.
14. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
15. Termination
Either Party may terminate this Agreement with written notice.
Termination by the Client will take effect immediately
Upon termination, all Confidentiality and Intellectual Property obligations survive
No refunds will be issued for termination after intake form submission
Client may request interim plan sections if termination occurs before completion
16. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.
