Capability Statement Contract
Simplifying Procurement, Amplifying Results
1. Parties
This Agreement ("Agreement") is made between Procurement & Co., LLC ("Company") and the individual or entity identified in the acceptance form below ("Client"), collectively referred to as "the Parties."
2. Project Description
The Company will provide the Client with professional capability statement development services. This service creates a compelling, professional capability statement that positions Client's business for government contracting success — showcasing core strengths, past performance, and competitive advantages in a format that wins agency attention.
3. Scope of Work
3.1 Services Included:
The Company will perform the following services:
Optional Positioning Discovery Call — optional 30-minute call to discuss business strengths, competitive positioning, target markets, and messaging priorities (optional — Company can develop statement based on intake form alone)
Business & Positioning Discovery — in-depth analysis of Client's core competencies, competitive advantages, past performance, and unique value proposition
Competitive Positioning Development — develop clear market positioning and differentiation strategy based on Client's strengths and target agencies
Professional Capability Statement Writing — write compelling, professional 1-2 page capability statement that showcases Client's strengths and positions for government contracting success
Content Development — sections include: company overview, mission/vision, core competencies, past performance, qualifications, differentiators, and target markets
Professional Design & Formatting — professional design, formatting, and branding to create polished, government-ready document
Delivery in 5-7 Business Days — capability statement delivered in 5-7 business days
Multi-Version Capability Statements (add-on) — develop multiple versions tailored to different agency types or contract types (available as $199 add-on)
Print-Ready Formatting (add-on) — professional print-ready version with high-quality PDF design and branding (available as $99 add-on)
Integration Support (add-on) — guidance for integrating capability statement into proposals, websites, and marketing materials (available as $50 add-on)
Branded Presentation Deck (add-on) — professional branded PowerPoint or PDF presentation deck version (available as $299 add-on)
3.2 Delivery Timeline:
Optional positioning discovery call occurs within 1 week of form submission if scheduled. Capability statement writing and development occur 5-7 business days after intake form submission. Final delivery occurs 5-7 business days after intake.
3.3 What is NOT Included:
Proposal writing or editing
Website design or development
Marketing materials or branding beyond capability statement
Certification support or compliance consulting
4. Deliverables
The Company will provide the following deliverables:
Optional positioning discovery call (30 minutes, if scheduled)
Professional 1-2 page capability statement document
Professional formatting and design
Digital PDF version (ready to email/share)
Print-ready version (if add-on selected)
Multiple targeted versions (if add-on selected)
Integration guidance (if add-on selected)
Branded presentation deck (if add-on selected)
5. Refund Policy
No refund after intake form submitted. Once Client submits the completed intake form, the service fee becomes non-refundable because the Company begins discovery and writing.
Refund available before intake. If Client cancels before submitting the intake form, a full refund is available within 7 calendar days of purchase.
No refunds for partial completion. If Client does not complete discovery or provide required information, no refund will be issued.
6. Payment Terms
Service Fee: $175.00 (one-time)
Payment Schedule: Billed at time of purchase
Service Delivery: Service delivery begins upon payment receipt
Non-Payment: If payment fails, service delivery is paused until payment is resolved
No Auto-Renewal: This is a one-time service engagement (not recurring)
Add-Ons: Billed separately if selected
7. Client Responsibilities
The Client agrees to:
Complete the intake form thoroughly within 24 hours of purchase
Schedule the optional positioning discovery call (Tue-Thu) if desired, or confirm Company can proceed with intake form alone
Provide accurate, detailed information about business, competencies, past performance, and target markets
Respond to Company questions within 48 hours
Review draft capability statement for accuracy
Provide feedback and revisions promptly
Confirm all information is accurate before final delivery
Approve final statement for use
8. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary and business information shared during capability statement development. Information will not be disclosed to third parties without prior written consent, except as required by law.
9. Intellectual Property
All capability statement frameworks, templates, and proprietary methodologies remain the property of Procurement & Co.
Client owns the completed capability statement and all content developed
Company may use anonymized case studies or success stories for marketing (with Client permission)
10. Service Modifications
The Company reserves the right to extend timelines if:
Client provides incomplete or vague intake information
Client fails to attend optional positioning discovery call without rescheduling
Significant revisions or rewrites are requested beyond initial draft
11. Limitation of Liability
Procurement & Co. does not guarantee agency interest, proposal success, or contract awards based on capability statement quality, as success depends on opportunity fit, pricing, and competitive factors. The Company is not liable for business outcomes or results. The Company is not liable for indirect, incidental, or consequential damages.
12. Capability Statement Usage
Client may use completed capability statement for government proposals, agency presentations, website, marketing materials, and vendor applications. Company retains right to use anonymized version for case studies or marketing (with permission).
13. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
14. Termination
Either Party may terminate this Agreement with written notice.
Termination by Client takes effect immediately
Upon termination, all Confidentiality and Intellectual Property obligations survive
No refunds will be issued for termination after intake form submission
Client may request interim draft if termination occurs before completion
15. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.
