Full Strategic Business Audit Contract

Simplifying Procurement, Amplifying Results

1. Parties

This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”

2. Project Description

The Company will conduct a comprehensive Business Audit to evaluate the Client’s procurement readiness.

3. Scope of Work

The Company will perform the following services under the base package:

  1. Review Client’s registrations (SAM.gov, UEI, CAGE Code) and certifications.

  2. Assess financial, legal, and business documents required for contracting.

  3. Evaluate past performance and current pipeline opportunities.

  4. Assess internal business processes, staffing, and readiness for proposals.

  5. Provide actionable recommendations to improve compliance and competitiveness.

Excluded from scope: direct filing of certifications or registrations, proposal writing, or ongoing monitoring (available as separate services).

4. Deliverables

The Company will provide the following deliverables as part of the Full Strategic Business Audit:

  • Comprehensive Business Audit Report (PDF/Shared Folder) – Detailed findings across registrations, certifications, NAICS codes, market positioning, proposals, and digital presence.

  • Certification & Registration Review Summary – Assessment of current certifications and eligibility for new ones, with action steps.

  • NAICS & Market Opportunity Map – Review of current NAICS/PSC codes with recommendations for alignment and missed opportunities.

  • Capability Statement (New or Revised) – Professionally branded and aligned with agency expectations.

  • 12–18 Month Strategic Roadmap – Milestone-driven plan for proposals, strategies, and quarterly focus areas.

  • Past Performance & Proposal Readiness Analysis – Review of contracts, proposals, and recommendations to strengthen positioning.

  • Digital Presence & Agency Alignment Review – Website and LinkedIn scan with recommendations for visibility.

  • Tools & Workflow Recommendations – Evaluation of current systems with improvement recommendations and a Monday.com dashboard setup if applicable.

5. Payment Terms

  • Base Service Fee: $2,500 per audit, billed in advance.

  • Optional Add-On Services (billed separately):

    • Expedited Turnaround (5–7 business days) — $500

    • Proposal Template Package — $350

    • Branded Capability Statement Multi-Version Package — $199 per version

    • Ongoing Quarterly Audit Update — $750 per quarter

  • Payment Schedule: Full payment for the base service and add-ons is due upfront, prior to commencement of work.

  • Commencement of Work: No audit, reporting, or add-ons will begin until payment has been received in full.

6. Client Responsibilities

The Client agrees to:

  • Provide required documentation and information in a timely manner.

  • Ensure accuracy of all business, financial, and ownership details submitted.

7. Confidentiality

Both Parties agree to maintain confidentiality of all proprietary, financial, and business information. Information will not be disclosed to third parties without prior written consent, except as required by law.

8. Intellectual Property

  • All templates, drafts, and proprietary materials remain the property of Procurement & Co.

  • The Client receives a limited license to use final deliverables only for proposal submission purposes.

  • Any materials provided by the Client remain the Client’s property.

9. Refunds & Termination

  • Fees are non-refundable once work has commenced.

  • If the Client terminates prior to commencement, partial refunds (less admin fees) may be considered at the Company’s discretion.

  • Work is considered abandoned with no refund if the Client fails to provide required documents or feedback within 14 days. Restarting services requires a new contract and payment.

10. Limitation of Liability

The Company is not responsible for indirect, incidental, or consequential damages. While compliance and quality are ensured, no guarantee of contract award is made.

11. Governing Law & Disputes

This Agreement will be governed by the laws of Illinois.

Disputes will first be resolved by mediation or arbitration in Illinois prior to litigation.
