Executive Subscription Contract

Simplifying Procurement, Amplifying Results

1. Parties

This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”

2. Project Description

The Company will provide the Client with subscription-based support services under the Executive Plan. This plan is designed for established businesses actively pursuing government contracts that require ongoing proposal development, tailored strategy, and hands-on support.

3. Scope of Work

The Company will perform the following services under the Executive Subscription:

  1. All services included in the Growth Plan.

  2. One (1) professionally written proposal per month (up to 20 pages).

  3. Post-submission support – responses to contracting officer clarifications or revisions.

  4. Win/loss debrief sessions with recommendations for improvement.

4. Deliverables

The Company will provide the following deliverables each month:

  • All Growth Plan deliverables (20 curated leads, 1 handpicked opportunity, procurement forecast, certification tracking, registration monitoring, 2 strategy calls, dedicated account manager, and priority support).

  • One (1) professionally written proposal (up to 20 pages) including:

    • Research and alignment with solicitation requirements.

    • Technical writing, formatting, and compliance checklist.

    • Submission guidance.

  • Post-submission support – responses to contracting officer requests.

  • Win/loss debrief session with recommendations for improvement.

5. Payment Terms

  • Subscription Fee: $1,499 per month.

  • Payment Schedule: Payments are billed monthly in advance on the enrollment date.

  • Auto-Renewal: Subscription automatically renews each month unless the Client provides written notice of cancellation at least seven (7) days before the next billing date.

  • Proposal Credit: Includes one (1) proposal up to 20 pages each month. Proposals exceeding 20 pages will incur additional fees billed separately, discussed and agreed upon during the project briefing.

  • Commencement of Work: No deliverables will be provided until the first payment has been received.

  • Non-Payment: If payment fails, services will be paused until payment is resolved.

6. Refund Policy

  • Fees are non-refundable once a billing cycle begins.

  • If the Client cancels before the next billing cycle, no further charges will be incurred after cancellation takes effect.

  • No refunds will be issued for unused services within a billing cycle.

7. Confidentiality

Both Parties agree to maintain confidentiality of all proprietary, financial, and business information. Information will not be disclosed to third parties without prior written consent, except as required by law.

8. Intellectual Property

  • All templates, drafts, and proprietary materials remain the property of Procurement & Co.

  • The Client receives a limited license to use final deliverables only for proposal submission purposes.

  • Any materials provided by the Client remain the Client’s property.

9. Service Modifications

The Company reserves the right to suspend or discontinue services if:

  • The Client fails to provide accurate information required for lead curation.

  • The Client fails to make timely payments.

  • The Client is unresponsive for more than two (2) weeks (service will be considered abandoned, with no refund; restarting requires a new subscription purchase).

10. Limitation of Liability

Procurement & Co. does not guarantee contract awards or outcomes from leads provided. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities or revenue.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Illinois.

Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.

12. Termination

Either Party may terminate this Agreement with written notice.

  • Termination by the Client will take effect at the end of the current billing cycle.

  • Upon termination, all Confidentiality, Intellectual Property, and Payment obligations survive.

13. Acceptance

By submitting the form below, the Client agrees to the terms of this Agreement.
