Capability Statement Contract
Simplifying Procurement, Amplifying Results
1. Parties
This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”
2. Project Description & Scope
Procurement & Co. will design a professional Capability Statement tailored to the Client’s business. Services include, but are not limited to:
Drafting and organizing content sections (company overview, core competencies, differentiators, NAICS codes, past performance, certifications).
Applying Procurement & Co. branding guidelines for layout and design.
Delivering one finalized capability statement for federal, state, or corporate contracting use.
Excluded from scope: unlimited revisions (limited to 2), grant proposals, or marketing collateral beyond the capability statement unless purchased as add-ons.
3. Deliverables
The Company will provide the following deliverables to the Client under the base service:
One-Page Capability Statement (PDF Format)
Professionally designed capability statement highlighting core competencies, differentiators, certifications, past performance, and contact information.
Editable Version (Word Format)
Editable file provided so the Client can update minor details (e.g., contracts, contacts, or certifications) as needed.
4. Payment Terms
Base Service Fee: $500 per capability statement, billed in advance.
Optional Add-On Services (billed separately if selected):
Multi-Version Package — $199 per version
Print-Ready File Formatting — $99
Integration with Certifications — $50 per update
Branded Presentation Deck — $299
Payment Schedule: Full payment for the base service and any selected add-ons is due upfront, prior to the commencement of work.
Commencement of Work: No drafting, design, or add-on deliverables will begin until full payment has been received.
5. Refund Policy
Fees are non-refundable once market research or data collection has commenced.
If Client cancels prior to kickoff, a partial refund may be considered, less administrative fees.
No refunds will be issued once the Forecast Report or Portfolio Tracker has been delive6. Client Responsibilities
The Client agrees to:
Provide required documentation and information in a timely manner.
Ensure accuracy of all business, financial, and ownership details submitted.
6. Confidentiality
Both Parties agree to maintain confidentiality of all proprietary, financial, and business information. Information will not be disclosed to third parties without prior written consent, except as required by law.
7. Intellectual Property
All templates, drafts, and proprietary materials remain the property of Procurement & Co.
The Client receives a limited license to use final deliverables only for proposal submission purposes.
Any materials provided by the Client remain the Client’s property.
8. Service Modifications
The Company reserves the right to suspend or discontinue services if:
- Client fails to provide required business profile information (e.g., NAICS codes, certifications, past performance),
- Client fails to make payment, or
- The scope expands beyond the original agreement without an amendment
9. Refunds & Termination
Fees are non-refundable once work has commenced.
If the Client terminates prior to commencement, partial refunds (less admin fees) may be considered at the Company’s discretion.
Work is considered abandoned with no refund if the Client fails to provide required documents or feedback within 14 days. Restarting services requires a new contract and payment.
10. Limitation of Liability
The Company is not responsible for indirect, incidental, or consequential damages. While compliance and quality are ensured, no guarantee of contract award is made.
11. Governing Law & Disputes
This Agreement will be governed by the laws of Illinois.
Disputes will first be resolved by mediation or arbitration in Illinois prior to litigation.
12. Acceptance
