Business Start-Up Premium Contract

Simplifying Procurement, Amplifying Results

1. Parties

This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”

2. Project Description

The Company will provide the Client with the Business Start-Up Premium Package, designed for entrepreneurs seeking a full “done-for-you” launch experience that includes foundational compliance, branding, registrations, and initial certifications to qualify for government set-aside opportunities.

3. Scope of Work

The Company will perform the following services under the Premium Package:

  1. Everything in the Plus Package (LLC filing, EIN, NAICS selection, Operating Agreement, W-9, Capability Statement, Virtual Address, bank account setup, domain, email, landing page, phone line, SAM.gov registration, and Starter Subscription trial).

  2. WOSB (Women-Owned Small Business) certification application.

  3. MBE (Minority Business Enterprise) certification application.

  4. One additional certification application (Client’s choice of WBE or DBE).

  5. Vendor registry setup in key state, city, or county systems.

Excluded from scope: Additional certifications beyond the three listed, proposal writing, multi-page websites, or ongoing support (available separately).

4. Deliverables

The Company will provide the following deliverables under the Premium Package:

  • All deliverables from Essentials and Plus Packages.

  • WOSB certification application prepared and submitted (federal).

  • MBE certification application prepared and submitted (state/local).

  • One (1) additional certification application prepared and submitted (WBE or DBE).

  • Confirmation of vendor registry setup (state, city, or county).

  • Documentation package with copies of filings, registrations, and submissions.

  • Free 30-day trial of Starter Subscription services.

5. Payment Terms

  • Service Fee: $1,999 (one-time).

  • Payment Schedule: Full payment is due upfront, prior to commencement of work.

  • Commencement of Work: No filings, registrations, or certification applications will be initiated until payment has been received in full.

6. Refund Policy

  • Fees are non-refundable once business filings, certification applications, or registrations have commenced.

  • If the Client cancels prior to the start of work, a partial refund (less administrative fees) may be issued at the Company’s discretion.

  • No refunds will be issued once the majority of deliverables have been completed or submitted

7. Confidentiality

Both Parties agree to maintain strict confidentiality regarding all business, financial, and proprietary information shared during this engagement.

8. Intellectual Property

  • Procurement & Co. retains ownership of all proprietary templates, design files, and processes used in creating deliverables.

  • The Client will retain ownership of:

    • Filed entity, EIN, and Operating Agreement.

    • Finalized Capability Statement, domain, email, and landing page.

    • All certification approvals and vendor registry accounts once issued.

9. Service Modifications

The Company reserves the right to suspend or discontinue services if:

  • The Client fails to provide necessary documentation or approvals.

  • The Client fails to make timely payment.

  • The scope expands beyond the original package (e.g., additional certifications or out-of-state vendor registrations).

10. Limitation of Liability

Procurement & Co. is not responsible for delays caused by federal, state, or local agencies (including SBA, CMS, or DBE offices).

The Company does not guarantee certification approvals, contract awards, or specific timelines, as these are subject to agency review.11. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Illinois.

Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.

12. Termination

Either Party may terminate this Agreement with written notice if the other materially breaches this Agreement.

Upon termination:

  • The Client shall pay for services rendered up to the date of termination.

  • Confidentiality, Intellectual Property, and Payment obligations survive termination.

13. Acceptance

By submitting the form below, the Client agrees to the terms of this Agreement.
