Business Start-Up Plus Contract
Simplifying Procurement, Amplifying Results
1. Parties
This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”
2. Project Description
The Company will provide the Client with the Business Start-Up Plus Package, designed for entrepreneurs who need foundational compliance documents along with branding and marketing tools to launch with credibility in the government contracting space.
3. Scope of Work
The Company will perform the following services under the Plus Package:
Everything in the Essentials Package (LLC filing, EIN, NAICS selection, Operating Agreement, W-9, Capability Statement, Virtual Address, and Starter Subscription trial).
Business bank account setup support.
Custom domain registration.
One branded business email seat (Google Workspace).
Landing page (one-page starter website).
Business line setup.
SAM.gov registration (UEI + CAGE).
Excluded from scope: multi-page websites, certification applications, proposal writing, or ongoing support (available separately).
4. Deliverables
The Company will provide the following deliverables under the Plus Package:
All deliverables included in the Essentials Package.
Guidance documentation and support for business bank account setup.
Registered custom domain name (subject to availability).
One branded business email account (Google Workspace).
One-page landing site with basic branding, services, and contact information.
Business line setup confirmation.
Completed SAM.gov registration with UEI and CAGE Code confirmation.
5. Payment Terms
Service Fee: $1,699 (one-time).
Payment Schedule: Full payment is due upfront, prior to commencement of work.
Commencement of Work: No filings, registrations, or deliverables will be initiated until payment has been received in full.
6. Refund Policy
Fees are non-refundable once filings (LLC, EIN, domain, or SAM.gov registration) have commenced.
If the Client cancels prior to the start of work, a partial refund (less administrative fees) may be issued at the Company’s discretion.
No refunds will be issued once the majority of deliverables have been completed or filed.
7. Confidentiality
Both Parties agree to maintain strict confidentiality regarding all business, financial, and proprietary information shared during this engagement.
8. Intellectual Property
Procurement & Co. retains ownership of all proprietary templates, design files, and processes used in creating deliverables.
The Client retains ownership of:
Filed entity and EIN.
Domain registration and email account.
Finalized landing page content and branding.
Capability Statement.
9. Service Modifications
The Company reserves the right to suspend or discontinue services if:
The Client fails to provide necessary documentation or approvals.
The Client fails to make timely payment.
The scope expands beyond the original package (e.g., requests for multi-page websites, additional email accounts, or ongoing support not listed).
10. Limitation of Liability
Procurement & Co. is not responsible for delays caused by federal or state agencies, Google Workspace, domain registrars, or phone providers.
The Company does not guarantee government contract awards as a result of completing this package.11. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois.
Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.
12. Termination
Either Party may terminate this Agreement with written notice if the other materially breaches this Agreement.
Upon termination:
The Client shall pay for services rendered up to the date of termination.
Confidentiality, Intellectual Property, and Payment obligations survive termination.
13. Acceptance
By submitting the form below, the Client agrees to the terms of this Agreement.
