Business Start-Up Essentials Contract

Simplifying Procurement, Amplifying Results

1. Parties

This Agreement (“Agreement”) is made between Procurement & Co., LLC (“Company”) and the individual or entity identified in the acceptance form below (“Client”), collectively referred to as “the Parties.”

2. Project Description

The Company will provide the Client with the Business Start-Up Essentials Package, designed for entrepreneurs launching new businesses who need foundational documents, compliance tools, and readiness for government contracting.

3. Scope of Work

The Company will perform the following services under the Essentials Package:

  1. Business formation filing (LLC or Corporation) in the Client’s selected state.

  2. EIN (Employer Identification Number) setup with the IRS.

  3. NAICS code selection to align with government contracting opportunities.

  4. Preparation of Operating Agreement.

  5. Preparation of W-9.

  6. Capability Statement (one-page professional marketing document).

  7. Virtual business address setup.

  8. Free 30-day Starter Subscription trial.

Excluded from scope: proposal writing, certification applications, ongoing monitoring, or subscription renewals (available separately).

4. Deliverables

The Company will provide the following deliverables under the Essentials Package:

  • Filed Articles of Organization/Corporation (as applicable).

  • EIN confirmation letter from the IRS.

  • Selected NAICS code list with strategic recommendations.

  • Drafted Operating Agreement (Word/PDF format).

  • Completed W-9 form.

  • One professionally designed Capability Statement (PDF + editable format).

  • Virtual Business Address confirmation.

  • 30-day trial access to Starter Subscription services.

5. Payment Terms

  • Service Fee: $1,299 (one-time).

  • Payment Schedule: Full payment is due upfront, prior to commencement of work.

  • Commencement of Work: No filings, documents, or services will be initiated until payment has been received in full.

6. Refund Policy

  • Fees are non-refundable once business formation filings or EIN setup has commenced.

  • If the Client cancels prior to the start of work, a partial refund (less administrative fees) may be issued at the Company’s discretion.

  • No refunds will be issued once the majority of deliverables have been completed or filed.

7. Confidentiality

Both Parties agree to maintain strict confidentiality regarding all business, financial, and proprietary information shared during this engagement.

8. Intellectual Property

  • Procurement & Co. retains ownership of all proprietary templates, design files, and methodologies used in creating deliverables.

  • The Client retains ownership and rights to all completed documents (LLC filings, EIN, Capability Statement, Operating Agreement, etc.).

9. Service Modifications

The Company reserves the right to suspend or discontinue services if:

  • The Client fails to provide necessary documentation or approvals.

  • The Client fails to make timely payment.

  • The scope expands beyond the original package (e.g., requests for additional certifications, filings, or documents not listed).

10. Limitation of Liability

Procurement & Co. is not responsible for delays caused by federal or state agencies (e.g., IRS, Secretary of State). The Company does not guarantee government contract awards as a result of completing this package.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Illinois.

Disputes shall first be attempted through negotiation and mediation. If unresolved, disputes shall be settled by binding arbitration in Illinois before litigation is considered.

12. Termination

Either Party may terminate this Agreement with written notice if the other materially breaches this Agreement.

Upon termination:

  • The Client shall pay for services rendered up to the date of termination.

  • Confidentiality, Intellectual Property, and Payment obligations survive termination.

13. Acceptance

By submitting the form below, the Client agrees to the terms of this Agreement.
